    In this seminar, we will explore key aspects of the Delaware General Corporation Law and Delaware LLC Act, along with the essential filing requirements for both corporation and LLCs. Our focus will include the internal management and structure of stock corporations, supported by recent case law. We will also examine the internal management framework and formation documents specific to LLCs. Finally, we will highlight important considerations to help guide the choice between forming a Delaware Corporation or a Delaware LLC.

    Robert McHugh III, Esq. is a Transactional Business Consultant for CT Corporation.  As a UCC and transactional expert for CT's Mid-West clients, Rob provides consultation on secured transactions, due diligence, entity compliance, and corporate services.

    Previously, as a global business consultant at CT, he supported global due diligence, entity formations and dissolutions, and annual compliance. Rob has extensive experience in international corporate compliance, assisting Fortune 100 clients with multi-jurisdictional projects.

    He also worked in investment management compliance, focusing on offshore fund compliance, and held FINRA Series 7 and 24 licenses. He is an attorney in Pennsylvania.

She has served as judge, chief, and prosecutor at various moot court competitions. She has represented clients in judicial, legislative, and regulatory proceedings at all levels. She is a member of the bars of Washington, DC; Massachusetts; and the US Supreme Court.

    Maintaining Privilege and Ethical Boundaries

    PPA is pleased to have James D. (JD) Mazzocco of Babst Calland speak on how paralegals must maintain privilege and other ethical boundaries. 

    JD Mazzocco is a shareholder in Babst Calland’s Litigation and Environmental groups.  His practice focuses on environmental and complex commercial litigation.  His environmental litigation experience includes representing clients in environmental cost recovery cases and federal, state, and local environmental regulatory matters, including large-scale citizen suits and environmental class actions.  Mr. Mazzocco has extensive experience representing clients in trials and hearings in federal and state courts, as well as before administrative bodies and arbitration panels. His complex commercial litigation experience includes representing clients in a wide variety of matters, including toxic tort actions, contract and lease disputes, and premises liability actions.

    Mr. Mazzocco received his B.A. in English and a minor in Chemistry, cum laude, from Gettysburg College in 2011. Mr. Mazzocco received his J.D. from Duquesne University School of Law in 2014.  During law school, he served as an intern at several law firms in the Pittsburgh area, worked as a teaching assistant, and was an award-winning individual and team member of Duquesne University’s Appellate Moot Court Board, competing in the Federal Bar Association Thurgood A. Marshall Memorial Moot Court Competition and the WVU National Energy & Sustainability Moot Court Competition.

    Mr. Mazzocco is admitted to practice in Pennsylvania and before the United States District Court for the Western District of Pennsylvania.

    Using Skilled Interpreters

    The presentation dives into the importance of interpreters and translators in the legal industry, covering everything from best practices, to regulations, to overall furthering knowledge of language services/languages.

    Karina De La Cruz is Founder and CEO of Horizon Legal Solutions, Inc., a firm dedicated to translation and interpretation services, especially in the legal and medical communities.  Karina has an extensive background in the legal field. Karina earned an Associate of Arts degree in Paralegal Studies from Cooper Career College. She then worked almost ten years as a legal assistant and as a paralegal. Karina is bi-lingual, and during this time recognized the demand for excellence in language services. 

    She pursued her education, earning a Bachelors of Arts in Business Administration with a focus on International Business at Northwood University in West Palm Beach, FL. 

    She continued even further, earning an MBA from Nova Southeastern University.

    Karina then transitioned from paralegal to CEO, and founded her own company, Horizon Legal Solutions, Inc., eighteen years ago, in 2006. Karina has worked with some of the most prestigious law firms in Florida. Horizon has grown nationally - providing service to every state in America - and internationally, providing translation and interpretation services worldwide in over 175 different languages (and counting). Besides being an entrepreneur and CEO, Karina is a mother of two and of a fluffy fur baby named Coco. She likes exercise, wine and a good movie.

    Join the PPA Technology Specialty Section at this special day and time for a replay of a NALA webinar on "How to Color Within the Lines: Legal Ethics, ChatGPT, and Generative AI Technology."

     Since late last year, the world has come to know ChatGPT. This new technology – a subset of generative artificial intelligence – can perform most of the tasks legal professionals have traditionally performed. It can write briefs and letters, organize documents, assist with research, brainstorm, make predictions based on existing data, and many other things. In time, experts predict that this technology will be able to do much of what we can do, better and faster. In one sense, it will make legal professionals more efficient and effective. But in another sense, it is potentially disruptive technology whose full economic, ethical, and legal implications are still unfolding. Those unprepared for the age of generative artificial intelligence, some industry experts say, will likely be left behind. To best position yourself to succeed in this unfolding age, it is important to understand what generative technology is, how it works, and how best to make use of it without flouting ethical bounds. This course provides a useful starting point.

    Presenter Biography: Mbilike (pronounced “Bee” “Lee” “Kay”) has been an attorney with Brewster & DeAngelis since 2016. He focuses on complex civil litigation, civil rights, self-driving cars, and state and federal appeals. Mbilike received a Martindale-Hubbell AV Preeminent Peer Review Rating, which “signifies that a large number of [his] peers rank him… at the highest level of professional excellence for [his] legal knowledge, communication skills and ethical standards.” Mbilike’s peers have also recognized him as a “Rising Star” and “Super Lawyer” in civil litigation. In 2017, he received the Golden Quill Award, one of the Oklahoma Bar Association’s highest intellectual awards.
